Disclosure of Transfers of Value

Grünenthal Meds is fully committed to publishing details about our various forms of collaborations with healthcare professionals (HCPs) and healthcare organisations (HCOs) to demonstrate that we interact with these stakeholders in an ethical and transparent way.

The mode of disclosure may vary from country to country. However, every affiliate that makes any transfers of value to healthcare professionals or healthcare organisations will disclose these values in line with local regulations.

Methodology

The aim of the methodological note is to provide a clear and simple explanation of how Grünenthal Meds collects and discloses relevant information. The note covers definitions of transfers of value, healthcare professionals, healthcare organisations, research and development, topics related to data protection and consent, general questions about cross-border activities, Value Added Tax (VAT), sponsorships etc. The methodological note is published on a yearly basis, together with the disclosure file.

Disclosure Reports HCPs and HCOs

Grünenthal Meds interacts with healthcare professionals on various subjects. This includes seeking advice and/or services from healthcare professionals (e.g., Market research about our products, during clinical trials, observations etc.) and informing healthcare professionals about the advantages and medical implications of our products. Interactions with healthcare organisations include sponsorships of medical association meetings, stands at medical association meetings and congresses, as well as donations and grants to hospitals for research and education.

All interactions and transfers of value are disclosed in line with local regulations. These disclosures are aligned with either local pharmaceutical codes (if applicable) or national legislation carried out by parties such as healthcare authorities. The underlying rationale and methodology follow a coherent concept.

Statement of Tax principles

KKI Grunenthal UK HoldCo Limited and it’s subsidiary Kyowa Kirin International UK NewCo Limited oversee the Grünenthal Meds Group (“Meds Group”), a joint venture collaboration between Grünenthal and Kyowa Kirin International plc.

The Meds Group manages a portfolio of medicines across six key therapeutic areas, including cancer pain, constipation, and bone health. Through a network of affiliates and key partners, the Meds Group is bringing these important products to patients in need around the globe. This document describes the tax principles of the Meds Group.

This policy is reviewed annually and applies to KKI Grunenthal UK HoldCo Ltd. and Kyowa Kirin International UK NewCo Ltd. This publication fulfils our obligations pursuant to para 19(2) Sch19 Finance Act 2016 which requires our tax strategy to be published under certain criteria.

Governance

The Meds Group recognises that in each of the jurisdictions in which it operates, the taxes raised are a significant and direct contributory factor to the local government’s ability to influence the well-being and health of those who live there. The Meds Group adopts a prudent approach to tax planning and does not engage in aggressive or artificial tax planning schemes. The Meds Group is facilitated by a tax function that provides support to the business, not lead the business. This approach is key to ensuring that the substance of the business determines the tax footprint.

The Meds Group understands the value of reporting to stakeholders and endeavors to provide balanced communication of our tax affairs. As a good corporate citizen, the Meds Group considers taxes and duties as important parts of our social responsibility.

Tax planning

The Meds Group aims to be efficient with our tax affairs and considers the intention of the tax law in our business activities. Business factors and requirements lead the business structures, and consequently our tax approach. We do not engage in artificial transactions without business substance. Our tax obligations and therefore our tax contributions are aligned with the commercial and economic reality of our business operations.

We adhere to relevant tax laws, and we seek to minimize the risk of uncertainty or disputes. We access government-sponsored tax incentives where appropriate, as aligned with substantive business activities.

Tax risk management

Taxation of international business is a truly complex operation. Uncertainties may arise in the application or interpretation of the various tax laws involved, resulting in tax risks.

The Meds Group tax advisors work alongside the finance and business directorates of the organization to provide input to and manage tax risks in the context of substantive business transactions. We apply the OECD guidelines, UK and other national legislation to our intercompany transactions and intellectual property ownership, which are aligned to substantive business activities. It is also a requirement for all tax professionals to have the necessary knowledge and qualifications and receive ongoing trainings to fulfill all tax compliance and tax risk management duties.

In instances in which applicable laws and regulations are open to interpretation, we will seek appropriate assurances regarding the ultimate position taken, as part of our risk management processes. We may further request external advice from leading professional service providers where required, to support our tax positions where matters are significant or are open to interpretation.

Tax compliance

The Meds Group commits to act responsibly in relation to all tax affairs, to fulfil tax compliance obligations, and to operate in accordance with all relevant tax laws and regulations wherever there is a requirement to do so as a result of a business presence and transactions. All taxes and duties are paid on time and tax declarations are duly filed according to the requirements established in local laws and regulations in the countries where the Meds Group operate.

Our Tax and Transfer Pricing governance approach is to manage and minimize Tax and Transfer Pricing risk and cost in a manner consistent with applicable legal requirements and with our shareholders’ best long-term interests, taking into account operational, economic and reputational factors.

In the event that applicable laws and regulations are subject to interpretation, we seek appropriate assurance regarding the position taken either through consulting with advisers or through advance rulings or pricing agreements with the relevant tax authorities.

Relationship with Tax Authorities 

The Meds Group aims to achieve and maintain respectful relationships with tax authorities and any relevant authority of the jurisdictions in which we operate. We cooperate, communicate, and correspond with conduct built on principles of honesty, fairness and integrity, creating trust which also supports the aim of reducing disputes.

We engage in a transparent manner, and we ensure appropriate access to relevant required information and documentation demonstrating the integrity of our tax processes, returns and payments. Our tax policies ensure timely and appropriate compliance further in the context of tax audits as well as all tax transparency requirements globally.

We engage with governments on proposed changes to tax legislation where appropriate via representative bodies.
